Terms of engagement

These terms apply to professional services offered by DistSysNet (“we”, “us”) through distsysnet.digital. By requesting an estimate, confirming an engagement, or using this website, you agree to these terms.

Acceptance

A binding engagement begins only when we issue a written scope confirmation and you accept it in writing (including email). Website content and fee guides are informational and do not form a contract until that confirmation exists.

Services

We provide distribution cost audits, invoice reconciliation reviews, freight and surcharge checks, and periodic cost watch retainers as described on this site. Scope, deliverables, timeline, and fees are defined in the engagement confirmation. We do not provide statutory financial statement audits, tax representation, legal advice, or carrier contract negotiation unless separately agreed in writing.

Client responsibilities

You agree to provide accurate documents, designate a responsive contact, and obtain any permissions needed for us to review vendor invoices and contracts. Delays in document delivery may extend timelines without reducing fees already earned for work completed.

Intellectual property

Findings reports, recovery worksheets, and related work product prepared for you become available for your internal business use upon full payment. DistSysNet retains ownership of methodologies, templates, and pre-existing materials. You may not resell our reports as a third-party product.

Confidentiality

We treat your commercial documents as confidential and use them only to perform the engagement, except where disclosure is required by law.

Liability

Our work depends on the completeness of materials you supply. We are not liable for credits refused by vendors, operational decisions you make after receiving findings, or losses arising from incomplete or inaccurate source documents. To the extent permitted by applicable law, our aggregate liability for an engagement is limited to the fees paid for that engagement.

Website use

You may not misuse this site, attempt unauthorised access, or scrape content for competing commercial databases. Content is provided as-is for general information.

Governing law

These terms are governed by the laws of Taiwan (Republic of China). Courts located in Taiwan have exclusive jurisdiction over disputes arising from these terms or our engagements, unless mandatory consumer protections require otherwise.
